By registering, creating courses, delivering live classes, or receiving funds through Aakadimia, the Tutor explicitly agrees to all terms, financial structures, anti-money laundering policies, and legal disclaimers outlined below.
1. Financial Structure, Wallet & Revenue Share
Integrated Digital Wallet:
Every verified Tutor on Aakadimia is provided an integrated digital Tutor Wallet within the platform dashboard.
All gross revenues generated from course sales, student enrollments, live class bookings, and practical lab access directly attributed to the Tutor's listings will be recorded and reflected in real-time within the Tutor’s digital wallet.
Revenue Share & Platform Fee (67% / 33% Split):
Tutor Allocation (67%): The Tutor receives sixty-seven percent (67%) of the net gross revenue generated from their course sales and live class bookings.
Aakadimia Platform Fee (33%): Aakadimia automatically retains thirty-three percent (33%) of all generated revenue. This fee covers platform hosting, infrastructure maintenance, Mobile Money payment gateway transaction fees, virtual lab environment management, marketing, and operational overhead.
Payout Procedures & Settlement Thresholds:
Payouts from the digital wallet are processed via corporate Mobile Money (MTN MoMo, Orange Money, M-Pesa, Airtel Money) or verified corporate bank transfers.
Aakadimia reserves the right to implement a minimum payout threshold and a rolling reserve period (up to 14 days) on new course revenues to account for student refund requests, chargebacks, or transaction disputes.
2. Anti-Money Laundering (AML) & Know Your Customer (KYC) Compliance
Because the Tutor Wallet processes financial transactions, Aakadimia strictly adheres to international Anti-Money Laundering (AML), Countering the Financing of Terrorism (CFT), and Know Your Customer (KYC) standards.
Mandatory KYC Verification:
Prior to issuing any wallet payout or enabling paid course enrollments, the Tutor must complete full KYC verification.
Required KYC documentation includes:
A valid, unexpired government-issued photo ID (National ID, International Passport, or Driver's License).
Proof of address (recent utility bill, bank statement, or official government residency document less than 3 months old).
A high-resolution live selfie verification matching the provided photo ID.
AML Screening & Transaction Monitoring:
Aakadimia monitors wallet transactions for suspicious financial activity, including structured payments, rapid deposit-withdrawal cycles without active course delivery, or foreign transaction anomalies.
Aakadimia reserves the right to hold, delay, or permanently freeze any wallet balance and report suspicious activities to relevant national and international financial intelligence units (FIUs) without prior notice to the Tutor.
3. Mandatory Online Pedagogy Certification Fee ($20 USD)
Certification Requirement:
To guarantee instructional quality across Africa and protect platform reputation, every Tutor must complete the Aakadimia Certified Educator Course.
Non-Refundable Fee:
A mandatory, non-refundable fee of $20 USD (or equivalent in local currency, e.g., XAF, NGN, KES) is required to cover the training materials, platform evaluation, digital credential issuance, and pedagogical assessment.
No Guarantee of Sales:
Completion of the $20 USD certification course verifies the Tutor’s technical and pedagogical ability to teach online; it does not guarantee specific student enrollment numbers, course sales volume, or financial income.
4. Account Suspension, Freeze & Termination Grounds
Aakadimia maintains a zero-tolerance policy for fraudulent, deceptive, or harmful conduct. The Company reserves the absolute right to immediately freeze wallet funds, suspend live classes, or permanently terminate a Tutor's account under the following circumstances:
Financial Fraud & Scams: Any attempt to manipulate wallet metrics, use stolen credit/mobile money accounts, create fake student accounts, or process unauthorized transactions.
Student Complaints & Low Quality Ratings: If a Tutor receives repeated, verified student complaints regarding missed live classes, poor audio/video quality, inappropriate conduct, or failure to deliver promised course content, Aakadimia may withhold wallet funds to process student refunds.
Off-Platform Payment Solicitation: Directly or indirectly instructing students to pay outside the Aakadimia platform (e.g., private Mobile Money transfers) strictly violates company policy and results in immediate wallet forfeiture and platform expulsion.

5.3 Intellectual Property Ownership & License Grant
Tutor Content: The Tutor retains ownership of their original course materials. However, by uploading content to Aakadimia, the Tutor grants the Company a worldwide, royalty-free, non-exclusive license to host, stream, display, market, and distribute the materials for promotional and educational purposes.
Platform Content: Aakadimia retains total ownership of all platform branding, software code, UI design, virtual lab environments, and certification badges.
No Copyright Infringement: The Tutor warrants that all uploaded materials (documents, slides, images, software) are original or used with valid legal licenses. Tutors bear sole legal liability for copyright violations.
5.4 Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the commercial and civil laws applicable to Bongalo 24 Co Ltd's jurisdiction of incorporation in Africa.
Mandatory Arbitration: Any dispute, controversy, or claim arising out of or relating to this contract shall first be settled through good-faith informal negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to binding arbitration under recognized regional commercial arbitration rules, before resorting to court litigation.
